These Terms of Service, also referred to as Terms of Use or Terms and Conditions ("Terms"), govern access to and use of cognik.ai, app.cognik.ai, the Cognik AI platform, the Digital Minds made available through the platform, and the related web, mobile, voice, knowledge, analytics, subscription, billing, and support services (collectively, the "Services"). The Services are provided by Unwrapped Solutions Inc. ("Cognik," "Cognik AI," "we," "us," or "our").
By creating an account, accessing or using the Services, interacting with a Digital Mind, uploading or submitting content, using voice features, or purchasing any paid feature, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of a company, organization, team, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
If you are a Creator building a Digital Mind on our platform, your relationship with us is also governed by the Creator Terms of Use and Creator Partnership Agreement you signed. Where those documents conflict with these Terms, those documents govern your Creator relationship and these Terms govern your general use of the Services.
1. Acceptance of Terms
Agreement to Terms. By accessing or using the Services, or by clicking to accept these Terms where presented, you enter into a binding agreement with Cognik under these Terms.
Eligibility and Age. You must be at least 18 years old to use the Services. By using the Services, you represent that you are 18 or older and have the legal capacity to enter into these Terms.
Related Policies. Your use of the Services is also governed by the Cognik Privacy Policy, which is incorporated into these Terms by reference. Additional notices may apply to Digital Minds, voice features, Creator visibility, and business accounts.
Changes to These Terms. We may update these Terms from time to time. If changes are material, we will provide notice as required by law, by posting a notice on our site or emailing you. Continuing to use the Services after changes become effective means you accept the updated Terms. Material changes involving AI training, provider data use, voice or biometric processing, Creator visibility, support access, or privacy commitments will receive clear notice and, where required by law, your consent.
2. Definitions
"Cognik" means Unwrapped Solutions Inc., the company and platform operating cognik.ai and app.cognik.ai.
"Digital Mind" means an AI-powered knowledge experience, persona, assistant, or voice experience created or operated through the Cognik platform and trained on a Creator's content.
"Creator" means the coach, consultant, author, expert, business, organization, or authorized representative that creates, controls, licenses content to, or is represented by a Digital Mind.
"Source Individual" means the person whose data, knowledge, likeness, voice, persona, biography, materials, or other information is used to create or configure a Digital Mind.
"Subscriber" means a person who accesses or interacts with a Digital Mind, whether by paid subscription, invitation, or other authorized access.
"User Content" means prompts, messages, questions, files, documents, data, recordings, transcripts, images, notes, saved items, workspace content, instructions, configuration, and other information submitted to, uploaded to, generated by, or processed through the Services.
"Digital Mind Output" means responses, text, audio, summaries, and other material generated by a Digital Mind.
3. Description of Services
The Services. Cognik provides tools for building, operating, and interacting with Digital Minds. The Services may include account management, Digital Mind configuration, knowledge bases, content ingestion, retrieval and search, conversational text and voice interaction, notes, workspaces, saved content, progress and engagement features, analytics and performance reporting, subscriptions, billing, and support tools.
Digital Minds. A Digital Mind is associated with a Creator and is trained on content that Creator provides. Digital Minds are made available to Subscribers through a hosted dashboard, which may be branded for the relevant Creator.
Not Cognik's Views. Digital Minds are not Cognik employees, representatives, or spokespersons. Each Digital Mind is intended to reflect its Creator's knowledge, frameworks, and communication style. Cognik provides the technology and infrastructure. The Creator provides the underlying content and expertise.
Beta Features. The Services may include beta, experimental, or preview features. Beta features may change, fail, produce inaccurate outputs, or be discontinued at any time without notice.
4. Account Registration and Security
Account Responsibility. You are responsible for providing accurate, current, and complete account information, for keeping it up to date, for protecting your login credentials, and for all activity under your account, whether or not you authorized it.
Account Security. You must promptly notify Cognik at support@cognik.ai of any unauthorized access to or use of your account or any other security concern.
One Account per Person. Each person should use their own account. Account sharing, credential sharing, and shared access to a Digital Mind by more than one individual are not permitted unless Cognik provides an authorized team, seat, or administrative workflow.
Suspension. We may suspend or terminate your account if you violate these Terms, provide false information, fail to pay, or use the Services in a way that harms others or creates legal, security, or operational risk for Cognik.
5. Account Status, Entitlements, and Data Retention
Active access depends on the applicable subscription or other entitlement. If a subscription ends, access may become limited or inactive. We do not promise a fixed reactivation or preservation period unless a separate written agreement says otherwise.
You may request account deletion through available controls or at support@cognik.ai. Our deletion process removes or de-identifies applicable account information from active Cognik systems. Certain transaction records are retained or de-linked; security and retrieval logs, authentication records awaiting separate processing, backups, and information held by service providers may remain for legitimate legal, security, operational, or contractual reasons.
Keep your own copies of information important to you. No platform should be treated as permanent storage.
6. Subscriptions and Payments
Unless checkout clearly identifies another seller, subscriptions are supplied by Unwrapped Solutions Inc., operator of Cognik. Whop processes checkout, subscription administration, cancellations, refunds, and related payment functions under its applicable terms.
Fees and Billing. Access to a Digital Mind is provided through a paid subscription. Subscription pricing is set in coordination with the relevant Creator and is displayed clearly before you commit to payment. Fees, billing cycles, plan features, taxes, renewal terms, and cancellation rules are presented at checkout, in-product, or in applicable order terms. By subscribing, you authorize us to charge your payment method on the schedule shown at checkout.
Payment Processor. Payments are processed by Whop Payment Processing, Inc. or another payment provider we designate. By making a payment, you agree to the applicable payment provider's terms of service. We do not store your full card details.
Automatic Renewal. Subscriptions renew automatically until canceled. You can manage and cancel your subscription through your account settings. Cancellations take effect at the end of the current billing period, and you will continue to have access until then.
Non-Payment. Failure to pay may result in suspension, downgrade, or termination as described in Section 5.
Taxes. You are responsible for any applicable taxes, fees, and charges on your purchases.
Price Changes. We may change subscription pricing. Price changes will not apply to your current billing period and we will give you advance notice before a changed price takes effect on a renewal.
7. Refunds
How to Request a Refund. You may request a refund by contacting us at support@cognik.ai. Cognik considers and frequently grants refund requests in its discretion. We would rather resolve a problem than keep money from someone who is not getting value, so please tell us what happened.
Seven-Day Goodwill Refund. As a goodwill exception, we will issue a full refund where you request it within seven (7) days of your first payment or of a renewal charge and your usage during that period has been minimal. Minimal usage means limited interaction with the Digital Mind and limited use of the platform's features, as reasonably assessed by us from account activity. This exception is intended for subscribers who realize quickly that the subscription is not the right fit. It is not intended to support repeated subscribe-and-refund cycles, and we may decline it where an account shows a pattern of such activity.
Annual Plans. Annual plans may be refunded in full within fourteen (14) days of the initial charge or renewal charge, subject to the same minimal-usage standard. After that fourteen-day window, annual plans are non-refundable, although we may assess the portion of the plan period and Services already used and issue a partial refund in our discretion.
Outside These Windows. Outside the windows described above, refunds are granted at our discretion. Because the Services provide immediate access to digital content, AI-powered interactions, and Creator intellectual property, payments are otherwise non-refundable except where required by law or where we state otherwise in writing.
Billing Errors. In the event of a duplicate charge or a verified billing error on our part, contact us within thirty (30) days of the charge at support@cognik.ai and we will investigate and correct it promptly. A verified billing error is refunded in full and is not subject to the usage standards above.
Cancellation and Refunds. Cancellation does not by itself entitle you to a refund except as provided in this section. Canceling stops future renewals and preserves your access through the end of the paid period.
Chargebacks. Please contact us before disputing a charge with your bank or card issuer. Chargebacks initiated without first contacting us may result in immediate suspension of your account and any active subscriptions. We maintain detailed records of subscription activations, access logs, and subscriber agreements to support our position with payment processors.
No Free Trial. Unless expressly offered in writing for a specific plan, the Services are not provided on a free-trial basis.
8. Payment Authorization
By completing a purchase on the Cognik platform, you confirm and agree to the following:
- You are the authorized account holder of the payment method being used, or you have explicit permission from the authorized account holder to make this purchase.
- You understand what you are purchasing, including the subscription type, the billing frequency (monthly or annual), and the total amount that will be charged.
- You authorize Cognik and its payment processor to charge your payment method the stated amount at the time of purchase and on each subsequent renewal date until your subscription is canceled.
- You understand that subscriptions renew automatically and that it is your responsibility to cancel before the next renewal date if you do not wish to be charged.
- You acknowledge that access to the Digital Mind and its content is provided immediately upon payment, and that this immediate access is the basis for the refund terms in Section 7.
9. Digital Minds, Likeness, Voice, and Consent
Digital Minds are AI-powered experiences created under written arrangements with authorized Creators. They must not be presented as live private communications from a Creator. Persistent Creator voice models require a separate signed Voice and Likeness Authorization.
Subscriber speech may be transcribed to provide live voice features. Uploaded audio or video used for content ingest is transcribed using OpenAI gpt-4o-mini-transcribe. The provider or model used for live Subscriber speech may differ and may change. Voice synthesis is currently provided through Fish Audio. Provider processing and deletion remain subject to the provider arrangements and controls available to Cognik.
You may not create, upload, or request an unauthorized clone, voice, likeness, or persona of another person.
10. Creator Visibility
Creators receive de-identified questions, conversation excerpts without direct account identifiers, aggregate engagement information, and related insights for their Digital Mind. We do not show Creators a Subscriber's name, email address, payment information, or account identity with those conversations.
A message may identify you if you include identifying details in it. Do not submit information you would not want the relevant Creator or Cognik to review. Creators must keep Studio information confidential, use it only to evaluate or improve their Digital Mind, and must not attempt to re-identify Subscribers.
Privacy and deletion requests are handled by Cognik at support@cognik.ai.
11. Acceptable Use
You may use Cognik for your own personal or professional purposes in line with these Terms. You may not use the Services to:
- violate any law or regulation;
- violate privacy, publicity, biometric, intellectual property, contractual, or other rights;
- create unauthorized AI clones, voice clones, likenesses, personas, or impersonations, or Digital Minds of deceased people or deceased public figures;
- upload, connect, or process data you are not authorized to use;
- deceive people into believing a Digital Mind is a human where disclosure is required;
- collect or process sensitive personal information without required permission;
- generate or distribute fraud, scams, phishing, spam, malware, or deceptive content;
- harass, threaten, exploit, abuse, defame, or manipulate others, including other users and Creators;
- create or distribute child sexual abuse material or exploit minors;
- generate non-consensual intimate, sexual, biometric, voice, likeness, or identity-based content;
- bypass access controls, rate limits, security controls, or usage restrictions;
- attempt to gain unauthorized access to any part of the Services or another user's account;
- reverse engineer, decompile, scrape, crawl, attack, or interfere with the Services or the underlying technology;
- use automated bots or scripts to interact with the Services without our written permission;
- attempt to manipulate, jailbreak, or extract the underlying instructions, knowledge base, or training content of a Digital Mind, or to reconstruct a Creator's content library through bulk or systematic querying;
- share, resell, reproduce, or redistribute Digital Mind Output or Creator content without the relevant Creator's permission;
- share your account credentials or provide access to a Digital Mind to people who have not paid for it; or
- use the Services in a way that creates legal, privacy, security, safety, or reputational risk for Cognik, its users, Creators, Source Individuals, or third parties.
Enforcement. We may investigate suspected violations and take appropriate action, including removing content, restricting features, suspending or terminating accounts, and reporting conduct to relevant authorities. Cognik may suspend, restrict, filter, monitor, remove, or disable access to any account, Digital Mind, content, or interaction at its sole discretion where reasonably necessary to protect users, comply with law, enforce these Terms, prevent abuse, or protect the integrity and security of the platform.
12. Content and Intellectual Property
Cognik's Platform. Cognik and its licensors own the Services, platform, software, infrastructure, systems, interfaces, designs, documentation, workflows, models, and related technology, excluding User Content and Creator content. Cognik names, logos, marks, and branding are owned by Cognik. Nothing in these Terms gives you any ownership of our platform or technology.
Restrictions. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or written agreement.
Creator Content. All content that forms the basis of a Digital Mind, including frameworks, methodologies, videos, writing, likeness, and voice, belongs to the relevant Creator. By interacting with a Digital Mind you acquire no rights in the Creator's content or intellectual property.
Your Inputs. You retain ownership of the questions, messages, notes, and other User Content you submit. You grant Cognik a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, display, analyze, transform, parse, embed, retrieve, generate outputs from, and otherwise use User Content as needed to provide, secure, maintain, support, debug, and operate the Services, to comply with law, and to enforce these Terms. We will not share your individual conversation inputs with third parties except as described in our Privacy Policy and in Section 10.
Your Representations. You represent and warrant that you have all rights, permissions, and consents necessary to submit your User Content; that it does not violate law or the rights of any third party; and that you will not submit sensitive, regulated, confidential, or third-party data unless you have the legal right to do so.
Rights in Digital Mind Output. Subject to these Terms, applicable law, the rights of the relevant Creator, and the terms of any third-party model provider, Cognik grants you a personal license to use the Digital Mind Output generated for you for your own lawful personal or professional purposes. Because outputs are generated from Creator content using third-party models that carry their own terms, Cognik does not assign or warrant ownership of, or exclusive rights in, any output, and does not guarantee that outputs are unique or non-infringing. Commercial redistribution, resale, republication, or use of Digital Mind Output to build a competing product or a derivative AI system is not permitted without the Creator's written consent.
13. AI Outputs and No Professional Advice
Nature of Outputs. Digital Mind Output is produced by artificial intelligence based on the relevant Creator's content. It is not verified or endorsed by Cognik. Outputs may be inaccurate, misleading, incomplete, outdated, offensive, or unexpected, including responses that do not reflect the Creator's actual views or intentions. AI-generated content is probabilistic in nature and should not be relied upon as the sole basis for decisions of any kind. You are responsible for reviewing and validating outputs before relying on them.
No Professional Advice. The Services are not a substitute for professional legal, medical, financial, tax, mental health, employment, or other regulated advice. You must not use outputs to make legal, medical, financial, employment, housing, credit, insurance, or other significant decisions without appropriate human review and professional guidance. If you are dealing with a sensitive matter, please consult a licensed professional.
Emergencies. The Services are not designed for emergencies and must not be relied on in a crisis. If you are in danger or experiencing a medical or mental health emergency, contact your local emergency services.
14. AI Training and Model Providers
Cognik uses third-party AI, transcription, voice, search, database, hosting, and infrastructure providers to operate the Services. Uploaded content ingest currently uses OpenAI gpt-4o-mini-transcribe. Anthropic API services are used for model processing. Fish Audio is used for voice synthesis and voice-model functionality. The provider or model used for live Subscriber speech is not identified in these Terms and may differ from the ingest model.
Cognik does not use one Creator's content to operate another Creator's Digital Mind and does not intentionally train a general-purpose model on Subscriber conversations. Provider retention and model-improvement practices depend on the provider, account, agreement, configuration, and applicable settings. We do not promise Enterprise terms, zero data retention, or that every provider has signed a separate DPA with Cognik.
If Cognik proposes materially broader model-training use, we will provide notice and obtain consent where required.
15. Support Access and Administrative Tools
Authorized Cognik personnel may access accounts, Digital Minds, content, and technical records when reasonably necessary to provide support, investigate abuse, maintain security, comply with law, or operate the Services. Access is limited by the controls available in the relevant system. We do not promise a particular audit-logging or administrative-control feature unless confirmed in a separate written agreement.
16. Disclaimers of Warranties
As Is. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, COGNIK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, AND SECURITY.
No Guarantee. COGNIK DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DIGITAL MIND OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL, UNIQUE, OR APPROPRIATE FOR YOUR SITUATION. YOU USE THE SERVICES AND RELY ON OUTPUTS AT YOUR OWN RISK.
No Results Promised. We make no promise that using the Services will achieve any particular result, outcome, or level of performance for you.
17. Limitation of Liability
Exclusion of Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, COGNIK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUES, DATA, GOODWILL, BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE WERE AWARE THOSE LOSSES WERE POSSIBLE.
Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, COGNIK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO COGNIK IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Exceptions. Some jurisdictions do not allow certain limitations or exclusions, so some of the above may not apply to you.
Basis of the Bargain. The disclaimers and limitations in Sections 16 and 17 are a fundamental element of the basis of the bargain between you and Cognik.
18. Indemnification
You agree to defend, indemnify, and hold harmless Cognik, its affiliates, and their officers, directors, employees, contractors, agents, partners, suppliers, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use or misuse of the Services;
- your User Content;
- your misuse of Digital Mind Output;
- your violation of these Terms or of any law;
- your violation of the rights of any third party, or your failure to obtain required consent, authorization, or rights.
This obligation does not apply to the extent that a claim arises from Cognik's own gross negligence or willful misconduct.
19. Third-Party Services and Links
The Services may contain links to third-party websites or depend on third-party services, providers, models, APIs, or platforms. We do not control those sites or services and are not responsible for their content, practices, security, availability, or terms. Third-party services may change, fail, impose limits, suspend access, or process data according to their own terms and policies. Following a link to a third-party site is at your own risk.
20. Force Majeure
Cognik will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, utility or network failures, provider or model outages, or other force majeure events.
21. Privacy
How we collect, use, and protect your personal information is explained in our Privacy Policy at cognik.ai/privacy. By using the Services, you acknowledge the Privacy Policy. Additional notices may apply to Digital Minds, voice and biometric features, Creator visibility, cookies, and business accounts.
22. Term and Termination
Termination by You. You may stop using the Services and close your account at any time through available account controls or by contacting support@cognik.ai.
Suspension and Termination by Cognik. We may suspend, restrict, or terminate access to the Services if you violate these Terms; if required consent or authorization is missing, disputed, withdrawn, or legally insufficient; if your use creates legal, privacy, security, abuse, safety, operational, or reputational risk; if payment fails; or if we are required to do so by law or by provider requirements. Where reasonably practical, we will give you notice and an opportunity to address the issue first.
Effect of Termination. If your access ends for any reason, your right to use the Services stops immediately. Outstanding payment obligations survive termination. Data retention after termination is governed by Section 5 and the Privacy Policy. Sections that by their nature should survive termination will survive, including Sections 5, 7, 12, 13, 16, 17, 18, 22, and 24.
Discontinued Products. If we shut down a subscription product you paid for, we will provide at least thirty (30) days' advance written notice and will refund the unused portion of your subscription.
23. Changes to the Services
We are always improving Cognik. We may add, change, remove, suspend, or discontinue features, tools, integrations, pricing, or portions of the Services at any time. We will try to give you advance notice of significant changes, especially ones that affect how you access content you have paid for. Certain features may be experimental, beta, or under active development and may change, malfunction, or be discontinued at any time without notice.
24. DMCA and Rights Complaints
Cognik respects copyright, privacy, publicity, voice, likeness, and other rights. Send a detailed rights complaint to support@cognik.ai identifying the protected work or right, the disputed material, your contact information, and the basis for your claim. We may remove or restrict material while reviewing a complaint, request supporting information, notify the affected user, and terminate repeat or serious infringers.
If United States law applies to a copyright notice, Cognik may process the notice and any counter-notice under the Digital Millennium Copyright Act. Nothing in this section limits rights or remedies available under Canadian law.
25. Dispute Resolution and Governing Law
Before beginning formal proceedings, contact support@cognik.ai with a written description of the dispute and requested resolution. Both sides will try in good faith for 30 days to resolve it.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to non-waivable consumer rights, proceedings may be brought in the courts of British Columbia. After a dispute arises, the parties may mutually agree to mediation, arbitration, or another process. Either party may seek urgent relief to protect intellectual property, confidential information, consent rights, or platform security.
26. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable order terms, Data Processing Agreement, Creator Terms of Use, or Creator Partnership Agreement, constitute the entire agreement between you and Cognik regarding the Services and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our prior written consent. Cognik may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Notices. We may provide notices to you by email, through the Services, or by posting to the website. You may provide notices to us at the contact address below.
Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Cognik.
